Terms and Conditions: SAIMM Member Access to Mintek Library Services

This Agreement is entered into between the Mintek Library and the SAIMM member ("the Member") applying for access to Mintek Library services under the partnership agreement between SAIMM and Mintek.

  1. Access to Services

Through the agreement between SAIMM and Mintek, eligible SAIMM members may access selected Mintek Library services and resources in accordance with the membership benefits, service limits, terms, and conditions outlined in the membership application and service schedule.

  2. Liability and Indemnity

The Member acknowledges that the use of Mintek Library facilities, resources, databases, and services is undertaken at the Member's own risk. The Member indemnifies Mintek, its employees, contractors, agents, and representatives against any claim, loss, damage, injury, or liability arising from the Member's use of the library's services or facilities, except where such loss, damage, injury, or liability results directly from the negligence or wilful misconduct of Mintek or its representatives.

  3. Membership Fees and Payment

Membership fees are payable directly to Mintek upon receipt of an invoice. Mintek is a registered VAT vendor, and all fees quoted are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable rate.

  4. Annual Fee Adjustments

Membership fees and service charges may be reviewed and adjusted annually at Mintek's discretion and may be aligned with inflationary or operational cost increases.

  5. Payment Terms

Invoices are payable in accordance with the payment terms stated on the invoice. Access to services may be suspended if accounts remain outstanding.

  6. Contact Information

The Member undertakes to provide accurate and up-to-date contact information and to notify the Mintek Library in writing of any changes to their contact details. Communications sent to the most recent contact information provided by the Member shall be deemed to have been properly delivered.

  7. Overdue Accounts

Mintek reserves the right to charge interest on overdue accounts at the maximum rate permitted by law. Failure to charge interest in any instance shall not constitute a waiver of this right.

  8. Membership Usage

Membership is allocated to a single designated individual and is not transferable. Members must comply with all borrowing rules, service limits, and usage guidelines applicable to Mintek Library services.

  9. Lost or Damaged Materials

Members will be liable for the replacement cost of any borrowed materials that are lost, damaged, or not returned in accordance with the Library's lending policies.

  10. Copyright Compliance

Members agree to comply with all applicable copyright legislation and licensing restrictions governing the use of information, publications, databases, and documents accessed through the Mintek Library. Materials supplied may only be used for research, study, or other lawful purposes.

  11. Membership Suspension or Cancellation

Mintek reserves the right to suspend or terminate membership if a Member breaches these terms and conditions, misuses Library resources, fails to settle outstanding accounts, or contravenes applicable laws or regulations.

  12. Credit and Verification Checks

Where required for account administration purposes, Mintek may perform appropriate verification or credit checks. Submission of the membership application constitutes consent for such checks where legally permissible.

  13. Entire Agreement

This Agreement, together with the Membership Form and Service Schedule, constitutes the entire agreement between the Member and Mintek Library in respect of membership services and supersedes any previous arrangements relating to the same services.

  14. Electronic Acceptance

Submission of the membership application electronically constitutes confirmation that the Member has read, understood, and accepted these terms and conditions. Electronic submission shall have the same force and effect as a handwritten or electronic signature.

  15. Governing Jurisdiction

This Agreement shall be governed by the laws of the Republic of South Africa, and any disputes arising from this Agreement shall be subject to the jurisdiction of the appropriate South African courts.

Declaration

I hereby confirm that I have read, understood, and agree to abide by the terms and conditions governing access to Mintek Library services through the SAIMM-Mintek Library partnership.
